BOI Interim Final Rule Released

On March 21, 2025, the Financial Crimes Enforcement Network (FinCEN) released an interim final rule that exempts all entities created in the United States and their beneficial owners from the beneficial ownership information (BOI) reporting requirements. Foreign entities that meet the new definition of a “reporting company” and do not qualify for an exemption, however, must still file by the following deadlines:

  • Reporting companies registered to do business in the United States before March 21, 2025, must file BOI reports no later than 30 days from March 21, 2025. 

  • Reporting companies registered to do business in the United States on or after March 21, 2025, must file within 30 days after receiving notice that their registration is effective.
